Terms of Service

Last updated: May 25, 2026. These Terms govern your use of the STEM Turnkey website and related features. Please read them carefully — by using the Site you agree to be bound by them.

1. Acceptance of Terms

These Terms of Service (“Terms”) form a binding agreement between you (“you” or “User”) and ESA Organics, Inc. (“ESA Organics”, “we”, “us”, or “our”), a Florida-based business that markets its K-12 AgTech program under the STEM Turnkey brand. By accessing or using stemturnkey.com or any related sub-domains (collectively, the “Site” or “Service”), you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site.

2. Description of the Service

The Service consists of:

  • An informational marketing websitedescribing STEM Turnkey’ K-12 AgTech STEM curriculum and farm-to-cafeteria vertical-farming infrastructure.
  • An AI chat assistant that responds to inquiries about our program, grant funding, and implementation logistics.
  • A lead intake form that allows schools, districts, and authorized stakeholders to request a consultation or blueprint document.
  • Downloadable resources (PDFs, curriculum overviews, eligibility checklists) provided for reference.

The Service does not include any paid SaaS account, customer portal, or contractual delivery of hardware or curriculum. Hardware deployments and curriculum licenses are governed by separate written agreements executed after a consultation.

3. Eligibility

You must be at least 18 years old and capable of forming a legally binding contract to use the Site. The Service is intended for school administrators, CTE directors, superintendents, educators, district procurement staff, grant writers, parents, and other adult stakeholders evaluating K-12 STEM and food-program infrastructure. It is not intended for children under 13.

4. Acceptable use

When using the Site you agree not to:

  • Scrape, crawl, harvest, or otherwise extract content from the Site by automated means, except by well-behaved search-engine bots that respect robots.txt.
  • Submit the lead form using false, misleading, or stolen identity information, or the contact details of a third party without their consent.
  • Use the AI chat assistant for purposes unrelated to evaluating our school program — including, without limitation, general-purpose chatbot use, automated jailbreaking attempts, generating content for resale, or any abusive, defamatory, harassing, or unlawful messages.
  • Attempt to probe, scan, or test the vulnerability of any system or network associated with the Site without prior written authorization.
  • Interfere with or disrupt the Site through denial-of-service techniques, excessive request volumes, or malicious payloads.
  • Impersonate STEM Turnkey, our employees, or any other person or entity.
  • Use the Site to violate any applicable federal, state, or local law, including laws of the State of Florida.

We reserve the right to suspend or terminate access for any user who violates these rules, and to report unlawful conduct to appropriate authorities.

5. Intellectual property

All content on the Site — including text, graphics, logos, photographs, diagrams, curriculum overviews, downloadable PDFs, source code, and the “STEM Turnkey” name and brand — is owned by STEM Turnkey or its licensors and is protected by United States and international copyright, trademark, and other intellectual-property laws.

Downloadable PDFs and reference documents are made available solely for personal, non-commercial reference or internal institutional evaluation by your school or district. You may not redistribute, resell, sub-license, repackage, or use them as part of any competing product, consulting deliverable, or third-party publication without our prior written consent.

Nothing on the Site grants you any right or license to use any STEM Turnkey trademark, trade dress, or proprietary curriculum design.

6. AI chat assistant disclaimer

Our on-site AI chat assistant is powered by Claude, a large-language-model service provided by Anthropic, PBC. Responses are generated automatically based on statistical patterns and may contain inaccuracies, omissions, or out-of-date information.

AI chat responses are provided for informational purposes only and should not be relied upon as final professional, legal, financial, tax, regulatory, or procurement advice. Before making any purchase decision, grant application, board presentation, or contractual commitment, you should verify any material information directly with an STEM Turnkey team member through the lead form or by scheduling a consultation.

Pricing figures, grant amounts, eligibility windows, installation timelines, crop yields, and standards-alignment statements quoted by the AI are illustrative and are superseded by any signed proposal or contract.

7. Third-party links and resources

The Site may link to third-party websites, including grant program pages, partner organizations, and reference materials. We do not control these sites and are not responsible for their content, accuracy, privacy practices, or availability. Your use of any third-party site is at your own risk and subject to that site’s terms.

8. No professional advice

Information on the Site — including grant-funding guidance, NGSS/Perkins V/CTE alignment summaries, ROI calculators, and yield projections — is presented for general educational purposes only. It does not constitute legal, financial, accounting, tax, engineering, food-safety, or compliance advice. You should consult qualified professionals before relying on any such information for a specific decision.

9. Disclaimers of warranty

The Site and all content, AI chat responses, and downloadable materials are provided “as is” and “as available,” without warranty of any kind, whether express, implied, or statutory. To the maximum extent permitted by applicable law, STEM Turnkey disclaims all warranties, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, uninterrupted operation, and error-freeness.

10. Limitation of liability

To the maximum extent permitted by applicable law, in no event will STEM Turnkey, its officers, employees, contractors, or affiliates be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation lost profits, lost data, lost opportunities, loss of goodwill, or business interruption, arising out of or related to your use of the Site, even if advised of the possibility of such damages.

Our aggregate liability to you for all claims arising out of or related to the Site shall not exceed one hundred United States dollars (US $100). Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold harmless STEM Turnkey and its officers, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use or misuse of the Site, (b) your violation of these Terms, or (c) your violation of any third-party right, including any intellectual-property or privacy right.

12. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including suspected violation of these Terms. Upon termination, all rights granted to you under these Terms cease immediately. Sections that by their nature should survive termination — including intellectual-property, disclaimers, limitation of liability, indemnification, and governing law — will survive.

13. Governing law and venue

These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict-of-law principles. Any dispute arising out of or related to these Terms or your use of the Site shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to the personal jurisdiction of those courts.

14. Changes to these Terms

We may revise these Terms from time to time. When we do, we will update the “Last updated” date above. Material changes will be highlighted on the Site. Your continued use of the Site after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Site.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

16. Entire agreement

These Terms, together with our Privacy Policy and any separate written agreement we execute with you for a hardware or curriculum deployment, constitute the entire agreement between you and STEM Turnkey regarding the Site and supersede all prior or contemporaneous agreements, proposals, or representations on the subject.
